Creator Agreement

This Creator Agreement (“Agreement”) supplements the Portfolys Terms of Service (“Terms”). Capitalised terms not defined here have the meanings given in the Terms. If there is a conflict, this Agreement controls for creator-specific matters.
By enabling creator features, you agree to this Agreement.
1. Creator eligibility
To become a creator on the Platform, you must:
- Be at least 18 years old
- Reside in a country approved by Portfolys and its payment processors
- Successfully complete identity verification and know-your-customer (“KYC”) checks via Stripe
- Maintain accurate and up-to-date account and tax information
Portfolys may suspend or revoke creator access if eligibility requirements are no longer met.
2. Independent creator relationship
You are an independent creator and not an employee, agent, partner, or representative of Portfolys.
You have no authority to bind Portfolys, represent that you act on its behalf, or imply endorsement by Portfolys.
Portfolys does not provide financial, legal, or tax advice to creators.
3. Creator content and standards
You are solely responsible for all content you publish, including posts, messages, media, and communications with subscribers.
Permitted content
Content must be strictly limited to finance-related educational and informational material.
Prohibited content includes, but is not limited to:
- Adult, sexually explicit, or pornographic content
- Guarantees of investment performance or returns
- Misleading, deceptive, or fraudulent claims
- Signals, recommendations, or advice requiring regulatory authorisation unless you hold and disclose such authorisation
- Content that violates any law or regulation
Portfolys may remove content or suspend your account at any time, with or without notice.
4. Regulatory compliance
You represent and warrant that:
- You comply with all applicable financial regulations in your jurisdiction
- You do not hold yourself out as a licensed or authorised financial adviser unless you are legally authorised to do so
- You clearly communicate the educational nature of your content
You are solely responsible for determining whether licences, registrations, or disclosures are required for your activities.
5. Subscriptions, pricing, and promotions
You control:
- Subscription pricing
- Billing intervals
- Promotional pricing via promo codes
Unless otherwise stated, promotional pricing applies for the duration of the subscription and continues until the subscriber cancels. Promotional pricing does not survive cancellation.
Portfolys does not guarantee subscriber numbers, retention, or revenue.
6. Blocking and subscriber management
You may block subscribers at your discretion.
If you block a subscriber, the subscription is immediately cancelled, and the subscriber’s access to your paid content ends immediately.
No refunds are automatically issued for unused time unless required by law or approved by Portfolys.
7. Platform fees and payment processing
Portfolys charges a 10% platform fee on all subscription revenue and tips, deducted before payout. In agreed circumstances this fee may be lower. Payment processing fees may also apply.
Payments are processed through Stripe. You agree to Stripe’s terms and policies.
Portfolys may change platform fees with reasonable notice.
8. Payouts, holds, and clawbacks
Payouts are made according to Stripe’s payout schedule.
Portfolys may:
- Withhold payouts to manage fraud, disputes, chargebacks, refunds, sanctions, or legal risk
- Reverse or claw back amounts previously paid
- Impose payout minimums or rolling reserves
You authorise Portfolys and Stripe to debit your connected account to recover amounts owed.
9. Taxes
You are solely responsible for determining, collecting, reporting, and paying all taxes associated with your earnings.
Portfolys does not provide tax advice and does not assume responsibility for your tax obligations.
10. Intellectual property and licence
You retain ownership of your content.
You grant Portfolys a non-exclusive, royalty-free, worldwide licence to host, store, reproduce, distribute, and display your content in connection with operating, promoting, and improving the Platform.
This licence survives termination to the extent necessary to comply with legal obligations and resolve disputes.
11. Representations and warranties
You represent and warrant that:
- You own or have rights to all content you publish
- Your content does not infringe third-party rights
- Your content complies with applicable laws
- Your use of the Platform does not violate any agreement with third parties
12. Indemnification
You agree to indemnify and hold harmless Portfolys from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your content
- Your subscriptions
- Your violation of law
- Your breach of this Agreement or the Terms
13. Suspension and termination
Portfolys may suspend or terminate your creator account at any time for:
- Violations of this Agreement or the Terms
- Regulatory or legal requirements
- Fraud, abuse, or risk to the Platform
- Failure to complete or maintain KYC verification
Upon termination:
- Active subscriptions are cancelled
- Outstanding payouts may be withheld pending resolution of disputes or chargebacks
- Access to creator features ends immediately
14. Disclaimer of warranties
Creator features are provided “as is” and “as available”. Portfolys disclaims all warranties to the fullest extent permitted by law.
15. Limitation of liability
To the maximum extent permitted by law, Portfolys shall not be liable for indirect or consequential damages.
Total liability shall not exceed the amounts paid to you in the twelve months preceding the claim.
16. Governing law and jurisdiction
This Agreement is governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, except where prohibited by law.
17. Changes to this Agreement
Portfolys may update this Agreement from time to time. Continued use of creator features constitutes acceptance.
