1. Agreement and acceptance
By accessing or using the Portfolys website, applications, and services (collectively, the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Platform.
PortfoliPros Ltd (“Portfolys”, “we”, “us”, “our”) operates a global finance-focused community and creator-subscription marketplace. These Terms incorporate our Privacy Policy and any additional policies referenced on the Platform.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Platform.
Access to creator features is limited to residents of countries approved by Portfolys and its payment partners. Eligibility may change due to legal, regulatory, or operational requirements.
If you use the Platform on behalf of an organisation, you represent that you have authority to bind that organisation.
3. Accounts, verification, and security
You must register an account using accurate and complete information and keep it up to date.
Creators are required to complete identity verification and know-your-customer (“KYC”) checks through Portfolys’ payment processors (including Stripe). Failure to complete or maintain verification may result in suspension of creator features or payouts.
You are responsible for all activity under your account and must promptly notify us of any unauthorised use.
4. Marketplace role and relationship
Portfolys provides a neutral online platform that enables creators to offer subscription-based finance content and enables users to subscribe to creators.
- Portfolys is not a party to any agreement between creators and subscribers.
- Creators act independently and are not employees, agents, or representatives of Portfolys.
- Creators are solely responsible for their content, pricing, subscriber relationships, and compliance with applicable laws.
5. Description of services
The Platform allows:
Members to:
- Access free communities and content
- Subscribe to paid creator channels
- View personalised content feeds
- Send one-time tips to creators
Creators to:
- Set subscription prices and billing intervals
- Offer promotional pricing via promo codes
- Publish free and paid content
- Manage subscribers, including blocking users
- Receive subscription revenue and tips
We may modify or discontinue features at any time and do not guarantee uninterrupted availability.
6. Subscriptions, promotions, blocking, and cancellations
Subscriptions
Subscriptions renew automatically unless cancelled before the end of the current billing period. Cancellation stops future charges but access continues until the billing period ends, unless otherwise stated below.
Promotional pricing
Creators may offer promotional pricing via promo codes. Unless otherwise specified, promotional pricing remains in effect for the duration of the subscription and continues until the subscriber cancels. Promotional pricing does not apply to future subscriptions after cancellation.
Blocking and relationship termination
If:
- A creator blocks a subscriber, or
- A subscriber blocks a creator,
the subscription between them is immediately cancelled, and access to paid content ends immediately.
No refunds are automatically issued for unused time, except where required by law or approved through Portfolys support.
7. Tips
Tips are voluntary, one-time payments to creators. Tips are non-refundable except where required by law or expressly approved by Portfolys.
8. Fees, payments, and refunds
Platform fee
Portfolys charges a 10% platform fee on all subscription revenue and tips, deducted before payout to creators. In agreed circumstances this fee may be lower. Payment processing fees may also apply.
Fees may be updated with reasonable advance notice.
Payment processing
Payments are processed by third-party payment provider Stripe. By making payments, you agree to Stripe’s terms and policies.
Refunds
Refund requests must be submitted through Portfolys support. Refunds are evaluated on a case-by-case basis and are not guaranteed, subject to:
- Applicable consumer protection laws
- Stripe’s rules and dispute processes
- Evidence of fraud, misuse, or platform abuse
Creators may not issue refunds independently outside the Platform.
9. Creator payouts, holds, and reversals
Creator payouts are processed through Stripe according to its payout schedules.
Portfolys may:
- Delay or withhold payouts to manage risk, disputes, chargebacks, or legal obligations
- Reverse or claw back funds associated with refunds or chargebacks
- Impose minimum payout thresholds
Creators are responsible for all applicable taxes and reporting obligations.
10. Content standards and prohibited content
The Platform is strictly limited to finance-related educational and informational content.
The following content is prohibited:
- Adult or sexually explicit material
- Investment guarantees or promises of returns
- Fraudulent, deceptive, or misleading content
- Unlicensed financial advice where authorisation is legally required
- Content promoting illegal activity
We may remove content or suspend accounts at our discretion, with or without notice.
11. Financial content disclaimer
All content on the Platform is provided for educational and informational purposes only and does not constitute financial, investment, legal, or tax advice.
Portfolys does not endorse or verify creator content. Users are solely responsible for their investment decisions and acknowledge that investing involves risk, including potential loss of capital.
12. User content and licence
You retain ownership of your content. By posting content, you grant Portfolys a non-exclusive, royalty-free, worldwide licence to host, store, display, distribute, and make your content available in connection with operating and promoting the Platform.
13. Intellectual property
All Platform software, branding, and design are owned by Portfolys or its licensors. You may not copy, modify, reverse engineer, or create derivative works without our written consent.
14. Termination
You may close your account at any time. We may suspend or terminate accounts for violations, legal requirements, or operational reasons.
On termination, access to the Platform ends immediately. Provisions intended to survive termination will survive.
15. Disclaimer of warranties
The Platform is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied.
16. Limitation of liability
To the fullest extent permitted by law, Portfolys shall not be liable for indirect, incidental, consequential, or punitive damages.
Our total liability shall not exceed the greater of:
(a) amounts paid by you to Portfolys in the twelve months preceding the claim, or
(b) GBP £100.
17. Indemnification
You agree to indemnify and hold harmless Portfolys from claims arising from your use of the Platform, your content, or your breach of these Terms.
18. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, except where prohibited by law.
19. Changes to these Terms
We may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance.
